Terms of Service
Version 2.0 · Effective 31 August 2026 · For event organisers · Previous versions
1. Which terms apply to you
Tessera publishes two sets of terms. This one is for organisers — anyone who lists, sells tickets to, or runs an event on Tessera.
| If you are… | These terms apply |
|---|---|
| Listing, selling or running an event on Tessera | These Terms of Service, together with the Data Processing Addendum |
| Buying, receiving or holding a ticket, or browsing events | The Tessera Terms and Conditions |
If you do both, each set applies to the corresponding activity. Where the two conflict in relation to a particular activity, the terms governing that activity prevail.
These Terms, the Data Processing Addendum, the Privacy Policy, the Cookies Policy, our published pricing, and any order form signed by both parties together form the entire agreement between you and Tessera. Where they conflict, the order of precedence is: (1) a signed order form, (2) the Data Processing Addendum on data protection matters, (3) these Terms, (4) everything else.
By creating an organisation, listing an event, or using the Services, you agree to these Terms. If you are agreeing on behalf of a company, you confirm you have authority to bind it.
2. Definitions
"Tessera", "we", "us" means Tessera Pte. Ltd. (UEN 202344374N), 68 Circular Road, #02-01, Singapore 049422.
"You", "Organiser" means the individual or entity agreeing to these Terms.
"Services" means the Tessera platform, dashboard, APIs, checkout, and related services.
"Event" means an event you list or run through the Services.
"Attendee" means a person who buys, receives or holds a ticket to your Event.
"Attendee Data" means personal data relating to Attendees processed through the Services.
"DPA" means the Tessera Data Processing Addendum at yourtessera.com/legal/dpa.
"Fees" means the amounts payable to Tessera under clause 7.
"Order Form" means a written commercial agreement signed by both parties that references these Terms.
3. The Services
3.1 We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services to list and run your Events, for the term of this agreement.
3.2 We may improve, change or discontinue features. Where we discontinue a feature you materially rely on, we will give you at least 60 days' notice unless the change is required for security or by law.
3.3 You may not resell, sublicense or provide the Services to a third party as a service of your own, reverse engineer them, or use them to build a competing product, without our written agreement.
4. Your account
4.1 You must give accurate registration information and keep it current.
4.2 You are responsible for all activity under your account and for your collaborators' actions. Use strong credentials, enable multi-factor authentication where offered, and remove collaborators promptly when they leave.
4.3 Tell us immediately at contact@yourtessera.com if you suspect unauthorised access.
5. Your Event is your responsibility
This is the core allocation of risk in this agreement, and it is worth reading carefully.
You are solely responsible for your Event, including:
- its content, programming, safety and conduct;
- the accuracy of everything you publish about it — dates, times, venue, line-up, restrictions, terms;
- all licences, permits, venue agreements, insurance and regulatory approvals required to hold it;
- age restrictions, entry conditions, and enforcing them at the door;
- health, safety and crowd management;
- compliance with all applicable law in every jurisdiction where you promote or hold the Event;
- your own terms and refund policy, to the extent they do not conflict with the Tessera Terms and Conditions;
- honouring every ticket validly sold.
Tessera is a technology provider. We are not a promoter, producer, venue, agent or merchant of record for your Event, and we do not assume any of the responsibilities above.
6. What you may not list
You may not use the Services to sell tickets to, or promote, anything that:
- is unlawful in any jurisdiction where it is promoted or held;
- involves the sale of controlled substances, weapons, or counterfeit goods;
- promotes hatred, violence, or discrimination against any group;
- is sexually explicit involving anyone under 18, or is otherwise exploitative;
- constitutes gambling, a lottery, a financial product or a security, unless properly licensed and agreed with us in writing;
- infringes anyone's intellectual property, including unlicensed use of artist names, trademarks or artwork;
- is a fictitious Event, or one you do not have the right or intention to hold.
We may remove a listing, suspend sales, or hold funds where we reasonably believe this clause has been breached. We will tell you why.
7. Fees, payments and payouts
7.1 Stripe Connect
Payments are processed through Stripe Connect. You must connect and maintain a Stripe account in good standing. Your relationship with Stripe is governed by Stripe's own terms, which you enter into directly with Stripe. Stripe may request verification information, and may limit, hold or close your account under its own rules. We cannot override Stripe's decisions.
We never receive or store full payment card numbers. See clause 12.
7.2 Fees
Our fees for the Services are those set out in our published pricing, in your Tessera dashboard, or in an Order Form agreed between us. Fees are inclusive of payment processing costs and are deducted from the face value of each ticket sold. Fees may be varied on 30 days' notice. A variation does not apply to Events already on sale at the time of notice. An Order Form supersedes published pricing for the Events it covers. Fees are exclusive of GST, VAT and any other transaction tax, which we will add where we are required to charge it.
7.3 Payouts
Funds from ticket sales are paid to your connected Stripe account according to the payout schedule shown in your dashboard. Payout timing is governed by Stripe and by any risk controls described below.
7.4 Holds and reserves
We may delay a payout (maximum hold period is 90 days) or hold a reserve against expected refunds and chargebacks, where we reasonably believe there is a material risk of non-performance, fraud, excessive chargebacks, or breach of clause 6. We will tell you the reason and the amount, and release the funds as soon as the risk is resolved.
7.5 Chargebacks and disputes
You bear the cost of chargebacks, disputes and payment reversals on your Events, including any fee charged by Stripe or the card networks. We will provide the transaction records you need to defend a dispute. If a chargeback is settled against you after payout, we may recover the amount from future payouts or invoice you for it.
7.6 Taxes
You are solely responsible for determining, collecting, reporting and remitting all taxes applicable to your ticket sales — including sales tax, VAT, GST, withholding tax, entertainment or amusement duty — in every jurisdiction where you operate. Tessera does not act as merchant of record and does not assess or remit taxes on your behalf.
8. Refunds, changes and cancellation
8.1 You own refunds
Refunds on your Events are your responsibility and your decision, subject to this clause and to the Tessera Terms and Conditions. You configure whether Attendees may request refunds, and within what window.
8.2 If you cancel your Event
Your customers are entitled to a refund of the ticket price they paid. Platform and payment processing fees are non-refundable and are not returned. The organiser is responsible for funding the refund. We will process it to your original payment method once the organiser confirms the cancellation.
8.3 If you postpone or materially change your Event
You must notify ticket holders promptly. Where an Attendee has a right to a refund under applicable consumer law because of the change, you must honour it. Where the change is material and you offer no refund route, we may enable one on your behalf after notifying you.
8.4 Our review right
We may review a cancellation and ask for supporting information, in order to protect Attendees and manage fraud and chargeback risk. We will not unreasonably delay a legitimate cancellation.
9. Data protection
9.1 The DPA applies. Our respective data protection obligations are set out in the Tessera Data Processing Addendum at yourtessera.com/legal/dpa, which is incorporated into and forms part of these Terms. By agreeing to these Terms you agree to the DPA. Where the DPA conflicts with these Terms on a data protection matter, the DPA prevails.
9.2 Roles. In respect of Attendee Data collected through the Services for your Event, you are the controller (and a data intermediary's principal under the PDPA) and Tessera is the processor (and a data intermediary). Tessera acts as an independent controller for the purposes listed in section 3.2 of the Privacy Policy.
9.3 Your obligations as controller. You must:
- have a lawful basis for the Attendee Data you collect and the registration questions you configure;
- provide your own privacy notice to your Attendees;
- collect no more data than you need;
- respond to Attendee rights requests relating to data you control, with our assistance;
- have a lawful basis for any marketing you send to Attendees, and comply with the Do Not Call provisions of the PDPA for Singapore telephone numbers, including SMS and messaging apps;
- not collect special category data through the Services without our prior written agreement;
- not use Attendee Data for any purpose unconnected with the Event the Attendee bought a ticket to, without a lawful basis of your own.
9.4 Marketing pixels and tracking technologies. Where you configure a third-party advertising or analytics pixel on a Tessera-hosted event or checkout page, you and Tessera are joint controllers for the collection of personal data by that pixel and its transmission to the third party, as set out in Annex 4 of the DPA. Tessera is responsible for obtaining Attendee consent before the pixel loads. You are responsible for having your own lawful basis for your advertising, for your contractual relationship with the pixel provider, and for everything done with the data after transmission. You must not attempt to circumvent, disable or work around the consent mechanism.
9.5 Breach. You must notify us without undue delay, and in any event within 24 hours, of any personal data breach affecting Attendee Data that you become aware of.
10. Acceptable use
You may not, and may not permit anyone to:
- use the Services for any unlawful, fraudulent or deceptive purpose;
- interfere with, damage or degrade the Services or their security;
- attempt unauthorised access to any account, system or data;
- scrape or harvest data other than through an interface we provide;
- circumvent rate limits, fraud controls, or the consent mechanism described in clause 9.4;
- send unsolicited marketing through or in connection with the Services;
- misrepresent your identity, your authority, or your relationship with any artist, venue or brand;
- upload malicious code.
11. Intellectual property
11.1 Ours. The Services and everything in them — software, design, trademarks, documentation — remain ours or our licensors'. Nothing here transfers ownership.
11.2 Yours. Your Event content — names, descriptions, artwork, line-ups, logos — remains yours. You grant us a non-exclusive, worldwide, royalty-free licence to host, reproduce, display and distribute it solely to operate the Services, list and promote your Event on the platform, and process ticket sales. This licence ends when the content is removed, except for records we must retain.
11.3 Marketing use. We may identify you as a Tessera customer and use your name and logo on our website and in marketing materials. You may withdraw this permission at any time by writing to contact@yourtessera.com, and we will stop within 30 days.
11.4 Warranty. You warrant that you have all rights necessary to publish your Event content and that it does not infringe anyone's rights.
12. Payment card security
Tessera does not receive, store, process or transmit full payment card numbers, CVV codes or authentication data. All card data is captured directly by Stripe, a PCI DSS Level 1 certified Service Provider. Tessera's systems are outside the scope of the cardholder data environment.
13. Confidentiality
Each party may receive confidential information from the other. Each will keep it confidential, use it only for this agreement, and protect it with at least reasonable care. This does not apply to information that is public through no breach, independently developed, or lawfully received from a third party. A party may disclose where legally required, giving the other notice where lawful.
This obligation survives for 3 years after termination, and indefinitely for anything that is a trade secret.
14. Availability and support
14.1 Uptime. We will use commercially reasonable efforts to make the Services available 99.5% of each calendar month, excluding scheduled maintenance notified at least 48 hours in advance, emergency security maintenance, and events outside our reasonable control including Stripe outages.
14.2 Support. Support is available at contact@yourtessera.com and through the WhatsApp channel we provide. Target first-response times:
| Severity | Description | Target first response |
|---|---|---|
| Critical | Checkout down, or an Event on sale is inaccessible | 2 hours |
| High | A core feature is unusable with no workaround | 4 business hours |
| Normal | Everything else | 1 business day |
14.3 These targets are commitments to effort and response, not guarantees of outcome. Your exclusive remedy for a failure to meet them under these Terms is set out in clause 17.
15. Warranties
15.1 Ours. We warrant that we will provide the Services with reasonable skill and care, and in accordance with these Terms.
15.2 Yours. You warrant that: you have authority to enter this agreement; your Events and Event content comply with clauses 5, 6 and 11; you hold all necessary licences, permits and insurance; and the information you give us is accurate.
15.3 Disclaimer. Except as expressly stated, the Services are provided "as is" and we disclaim all other warranties to the extent permitted by law, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Services will be uninterrupted or error-free, or that any particular level of ticket sales will result.
16. Indemnities
16.1 You indemnify us against all claims, losses, damages and reasonable costs arising from: your Event; your breach of clauses 5, 6, 9, 10 or 11; any claim by an Attendee relating to your Event or your refund decisions; any tax liability you were responsible for; and any third-party claim that your Event content infringes their rights.
16.2 We indemnify you against any third-party claim that the Services, as provided by us and used in accordance with these Terms, infringe that party's intellectual property rights. This does not apply where the claim arises from your content, your configuration, or your combination of the Services with anything we did not supply.
16.3 Procedure. The indemnified party will notify the other promptly, allow the other to control the defence, and provide reasonable cooperation. Neither will settle in a way that admits liability for the other without consent.
17. Limitation of liability
17.1 Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything that cannot be limited by law.
17.2 Subject to 17.1, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for loss of profit, revenue, anticipated savings, data, goodwill or business opportunity, however arising.
17.3 Subject to 17.1, each party's total aggregate liability arising out of or in connection with this agreement is limited to the greater of (a) the total Fees paid to or retained by Tessera in respect of your Events in the 12 months preceding the event giving rise to the claim, or (b) S$5,000.
17.4 Carve-outs from the cap. Clause 17.3 does not apply to: your indemnity obligations under clause 16.1; your obligation to fund refunds under clause 8.2; amounts you owe us under clause 7; or either party's liability to a data subject under clause 12 of the Standard Contractual Clauses.
17.5 Data protection liability. Liability arising under the DPA counts towards the cap in clause 17.3, except for the carve-outs in 17.4.
18. Insurance
You must hold and maintain insurance appropriate to your Events, including public liability cover at a level required by your venue and applicable law, and provide evidence on reasonable request.
19. Term, suspension and termination
19.1 Term. This agreement begins when you accept it and continues until terminated.
19.2 Termination for convenience. Either party may terminate on 30 days' written notice. Termination does not take effect in respect of an Event already on sale until that Event has taken place and all payouts and refund windows are complete.
19.3 Termination for breach. Either party may terminate immediately if the other materially breaches and fails to cure within 14 days of written notice, or becomes insolvent.
19.4 Immediate suspension. We may suspend your access or sales immediately, without notice, where we reasonably believe there is fraud, illegality, a breach of clause 6, a security threat, or a risk of material harm to Attendees. We will tell you the reason as soon as reasonably possible and restore access once resolved.
19.5 Effect of termination. You may export your data through the Services for 30 days after termination. Outstanding payouts are released subject to clause 7.4. Amounts you owe us become immediately payable. Data deletion follows clause 14 of the DPA. Clauses 7.5, 7.6, 11.1, 13, 16, 17, 20, 21 and 25 survive.
20. Compliance
Each party warrants that it: complies with all applicable anti-bribery and anti-corruption laws, including the Prevention of Corruption Act of Singapore; is not subject to, and does not act on behalf of anyone subject to, applicable trade sanctions; complies with applicable anti-money-laundering law; and does not use forced or child labour in its operations or supply chain.
21. Force majeure
Neither party is liable for a failure to perform caused by an event beyond its reasonable control — including natural disaster, epidemic, war, terrorism, civil unrest, government action, and failure of telecommunications or a third-party service provider. This does not excuse an obligation to pay money, or your obligation to refund Attendees under clause 8.2 where an Event does not take place.
22. Changes to these Terms
We may update these Terms. For material changes we will give you at least 30 days' notice by email or through the Services. If you do not accept a material change, you may terminate under clause 19.2 before it takes effect; continuing to use the Services afterwards means you accept it. Changes do not apply retrospectively to Events already on sale. Previous versions are archived at yourtessera.com/legal/archive.
23. Notices
Notices to you go to the email address on your account. Notices to us go to contact@yourtessera.com and, for legal notices, to Tessera Pte. Ltd., 68 Circular Road, #02-01, Singapore 049422. Notice is effective on the next business day after sending.
24. Governing law and disputes
These Terms are governed by the laws of Singapore, without regard to conflict of law rules. The courts of Singapore have exclusive jurisdiction.
Before commencing proceedings, the parties will attempt in good faith to resolve the dispute through discussion between senior representatives for 30 days.
25. General
Relationship. Nothing here creates a partnership, joint venture, agency or employment relationship. Neither party may bind the other.
Assignment. You may not assign or transfer this agreement without our written consent, not to be unreasonably withheld. We may assign to a group company or in connection with a merger, acquisition or sale of assets.
Subcontracting. We may use subcontractors and sub-processors, and remain responsible for their performance.
Severability. If any provision is unenforceable, it is modified to the minimum extent necessary or severed, and the rest continues.
Waiver. A failure to enforce a right is not a waiver of it.
Third-party rights. Except as expressly stated, no one other than the parties has any right to enforce these Terms under the Contracts (Rights of Third Parties) Act 2001 of Singapore.
Entire agreement. These Terms, with the documents listed in clause 1, are the entire agreement and supersede all prior discussions. Neither party relies on any statement not set out in them.
Counterparts and electronic acceptance. Acceptance through the Services, or by signing an Order Form electronically, is binding.
